2. Website Use

You may use this website for lawful purposes only.

You agree not to:

  • Use the website for any unlawful or fraudulent purpose.
  • Attempt to gain unauthorized access to our website, systems, accounts, servers or data.
  • Introduce malware, viruses, malicious code or other harmful material.
  • Copy, reproduce, modify, distribute or commercially exploit website content without permission.
  • Interfere with the operation, security or availability of the website.
  • Use information obtained from the website to impersonate BHC or another person or organization.

We reserve the right to restrict or terminate access to the website where we reasonably believe these Terms have been violated.

3. Client Engagements

A client relationship begins when a proposal, quotation, service agreement, invoice, written approval, or other documented confirmation establishes the scope of work.

Before work begins, the client may be required to provide information, materials, credentials, access, approvals, brand assets and other resources necessary for the agreed project.

The client is responsible for ensuring that all information supplied to BHC is accurate, complete and up to date.

4. Project Scope

BHC will provide the services and deliverables specifically included in the agreed scope.

Requests that fall outside the original scope may be treated as additional work and may require:

  • Additional fees;
  • Additional time;
  • A revised scope;
  • A separate quotation; or
  • Written approval before work begins.

BHC is not required to complete work that was not included in the agreed scope unless the parties agree otherwise in writing.

5. Client Responsibilities

To complete projects efficiently, the client agrees to:

  • Provide accurate business, product and project information.
  • Provide required images, logos, copy, product details and other assets.
  • Provide necessary account or platform access where applicable.
  • Review and approve work within a reasonable timeframe.
  • Provide timely feedback and decisions.
  • Ensure that submitted content, images, trademarks, claims and other materials may legally be used.
  • Maintain ownership and responsibility for third-party accounts and business information supplied to BHC.

Delays caused by missing information, unavailable access, delayed approvals or incomplete client materials may affect project timelines.

6. Fees and Payments

Service fees, payment schedules, deposits, recurring charges and other financial terms will be communicated through the applicable quotation, proposal, invoice or service agreement.

Unless otherwise agreed in writing:

  • Advertising spend paid to platforms such as Meta, Google or TikTok is separate from BHC’s service fees.
  • Third-party costs, software subscriptions, premium themes, plugins, applications, hosting, domains, stock assets, APIs, payment gateway charges and similar expenses may be billed separately.
  • Work may be paused where an invoice remains unpaid beyond its agreed payment date.
  • BHC may withhold delivery, deployment, transfer or continued support until outstanding amounts are resolved.

Any applicable taxes, government charges or payment processing charges may be the client’s responsibility unless expressly stated otherwise.

7. Advertising Services

Where BHC manages paid advertising campaigns, BHC may assist with strategy, campaign setup, targeting, creative development, tracking, optimization and reporting.

Advertising performance depends on many factors outside BHC’s direct control, including:

  • Platform policies and algorithm changes;
  • Competition;
  • Market conditions;
  • Product demand;
  • Pricing;
  • Website performance;
  • Tracking limitations;
  • Customer behavior;
  • Advertising budgets;
  • Client fulfilment and customer service; and
  • Changes made by advertising platforms.

Accordingly, BHC does not guarantee a specific number of leads, sales, conversions, revenue, return on ad spend, cost per acquisition or other performance result unless specifically guaranteed in a signed written agreement.

Advertising platforms may reject, restrict, suspend or modify campaigns or accounts. BHC cannot guarantee that a platform will approve or continuously deliver any particular advertisement.

8. SEO Services

SEO is a long-term process and results can vary based on competition, search engine algorithms, website condition, content quality, backlinks, industry conditions and many other factors.

BHC may use recognized SEO practices, technical optimization, content strategy, keyword research, on-page optimization and other methods as appropriate to the agreed scope.

BHC does not guarantee:

  • A specific Google ranking;
  • A specific keyword position;
  • A fixed amount of organic traffic;
  • A fixed number of leads or sales; or
  • A particular timeframe for search engine results.

Search engines independently determine how websites are crawled, indexed and ranked.

9. Website Development

For website, Shopify, WordPress and e-commerce projects, BHC will work according to the agreed scope and technical requirements.

Third-party platforms, applications, plugins, themes, hosting providers, payment gateways and other services may be required.

BHC is not responsible for changes, outages, limitations, security issues or service interruptions caused by third-party providers, except to the extent such responsibility is expressly accepted in writing.

Where ongoing maintenance or support has not been purchased, post-launch assistance may be subject to separate fees.

10. Third-Party Platforms and Services

BHC may use or integrate third-party platforms and services, including but not limited to:

  • Shopify
  • WordPress
  • WooCommerce
  • Meta
  • Google
  • TikTok
  • Analytics platforms
  • Hosting providers
  • Payment providers
  • Plugins and applications
  • Email, cloud storage or communication services

Your use of third-party services may also be subject to the provider’s own terms and privacy policies.

BHC does not control the policies, availability, security, pricing or functionality of third-party platforms.

11. Content, Designs and Client Materials

The client remains responsible for materials supplied by the client, including logos, trademarks, images, videos, product information, written content and other intellectual property.

The client represents that it has the necessary rights and permissions to use those materials and to authorize BHC to use them for the agreed project.

BHC is not responsible for claims arising from unauthorized, misleading, unlawful or infringing materials supplied by the client.

12. Intellectual Property

Unless otherwise agreed in writing, BHC retains ownership of its pre-existing materials, processes, systems, templates, methods, internal resources, know-how and reusable components.

Upon receipt of full payment, ownership or usage rights for the specific final deliverables created exclusively for the client will be transferred or licensed according to the applicable project agreement.

Third-party assets remain subject to their respective licenses and terms.

Open-source software, platform code, plugins, applications, stock resources, fonts and other third-party materials are not automatically transferred as exclusive property of the client.

13. Portfolio and Marketing Rights

Unless otherwise agreed in writing, BHC may display completed client work, screenshots, designs, websites, campaign examples, publicly available business information and project results in its portfolio, case studies, presentations and marketing materials.

Where a project contains confidential information that the client has specifically identified in writing, BHC will take reasonable steps to avoid publicly disclosing that confidential information.

Clients may request restrictions on portfolio use through a written agreement.

14. Revisions and Approvals

The number of revisions included in a project will depend on the agreed scope.

Additional revisions, major changes after approval, changes in direction, new requirements or requests outside the original brief may incur additional fees or extend the timeline.

Once a client approves a design, page, campaign, content item or other deliverable, subsequent changes may be treated as additional work.

15. Timelines

BHC will make reasonable efforts to meet agreed project timelines.

Estimated timelines may change because of:

  • Delayed client feedback;
  • Missing content or assets;
  • Delayed account access;
  • Third-party platform issues;
  • Scope changes;
  • Unexpected technical problems;
  • Revisions;
  • Approvals; or
  • Other circumstances outside BHC’s reasonable control.

Where delays occur for reasons outside BHC’s control, the deadline may be adjusted accordingly.

16. Confidentiality

BHC may receive confidential business information while working with clients.

BHC will use reasonable care to protect confidential information and will not intentionally disclose such information to unauthorized parties except where:

  • Disclosure is required by law;
  • Disclosure is necessary to provide the agreed services;
  • Disclosure is made to trusted service providers assisting with the project; or
  • The client has authorized disclosure.

Clients are likewise responsible for protecting BHC’s confidential business information, proposals, pricing, processes and proprietary materials.
